Confidentiality Agreement (CDA or NDA)

When is one needed?

This should be in place where information is to be exchanged with a third party and the information to be disclosed or discussed is or may have potential commercial value attached to it.

The template CDA can be adapted for individual use however should be generated by R & D and signed by an authorized Trust signatory. Should you require a CDA to be generated please email the following information to or

  • NUH Employee’s Name
  • Third Party/Individual and Address
  • Field of work to which the confidential discussions relate
  • Any other information pertinent to the Agreement

A CDA will be finalised within 7 working days following receipt of the necessary information and returned to you via email as a PDF attachment. Once the necessary signatures have been obtained this should be returned to R & D for Trust signatory.

Any CDA/NDA received from third parties including commercial entities should not be signed by an individual employee of the Trust. Such Agreements require review prior to signing and should be brought to the attention of the R&D Contracts Team to ensure compliance. It is standard practice for an individual’s substantive employer to enter into contractual obligations and not the individual themselves. Contracts received by R & D for review will be addressed within 10 working days of receipt.
